Welcome to GDT Supply USA (“GDT Supply”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of our website and online store located at gdtsupply.com (the “Services”), and your purchase of any dental implants, prosthetic components, instruments, or related accessories (collectively, the “Products”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility & Accounts

  • You represent that you are at least the age of majority in your jurisdiction and are a licensed dental professional or acting on behalf of one.
  • You agree to provide current, complete, and accurate registration, billing, and shipping information, and to maintain the confidentiality of your account credentials. You are responsible for all activities under your account.

2. Professional Use & Medical Disclaimer

  • Products are intended for use by licensed dental professionals in accordance with applicable laws and the Product’s Instructions for Use (IFU).
  • Nothing on our site or in these Terms constitutes medical advice. You are solely responsible for clinical decisions and outcomes.

3. Product Information

  • We strive for accuracy, but variations in packaging or appearance may occur. Colors/images on-screen may differ from actual Products.
  • Descriptions, specifications, and availability may change without notice. We may limit quantities or discontinue Products at any time.

4. Orders & Acceptance

  • Placing an order is an offer to purchase. We may accept or decline any order at our sole discretion. An order is accepted when payment is processed and you receive our confirmation.
  • Please review your order before submitting; modification or cancellation may not be possible after acceptance.
  • Returns, exchanges, and refunds are governed by our Return, Refund & Warranty Policy.

5. Prices, Taxes & Payment

  • Prices are in U.S. Dollars and may change without notice. Unless stated otherwise, prices exclude taxes, shipping, handling, and any import/customs charges.
  • You authorize us (and our payment processors) to charge your selected payment method for all amounts due, including taxes and fees. You represent that you are authorized to use that method.

6. Shipping, Title & Risk of Loss

  • Delivery estimates (incl. “1–5 business days”) are not guarantees. Title and risk of loss pass to you upon transfer to the carrier. See our Shipping & Returns for details.

7. Intellectual Property & Compatibility

  • All site content (texts, graphics, logos, images, video, audio, and arrangements) is owned by GDT Supply or its licensors and is protected by IP laws. You may use the Services for personal, non-commercial purposes only.
  • No license is granted to copy, distribute, modify, or create derivative works without our prior written consent.
  • Third-party names and trademarks referenced for compatibility are the property of their respective owners; no affiliation, sponsorship, or endorsement is implied.

8. Prohibited Conduct

You agree not to: (a) use the Services for unlawful purposes; (b) infringe IP rights; (c) upload malware; (d) interfere with security or normal operation; (e) scrape, crawl, or harvest data without permission; or (f) misrepresent your identity or affiliation. We may suspend or terminate access for violations.

9. Marketing Communications

9.1 Email Marketing

By providing your email address, creating an account, subscribing to our newsletter, placing an order, or otherwise opting in to receive marketing communications, you consent to receive email communications from GDT Supply, including promotional offers, product updates, restock notifications, educational content, company updates, and other marketing or commercial communications.

You may opt out of receiving marketing emails at any time by using the unsubscribe link included in our emails or by contacting us at info@gdtsupply.com. We will process unsubscribe requests in accordance with applicable law.

Please note that even if you opt out of marketing emails, we may still send you non-marketing communications, including order confirmations, shipping updates, account-related notices, customer service responses, transactional messages, legal notices, and updates regarding our policies or Services.

9.2 SMS/Text Message Marketing

By providing your mobile telephone number and affirmatively opting in to receive SMS or text message communications from GDT Supply, you consent to receive recurring text messages from or on behalf of GDT Supply, including promotional offers, product updates, cart reminders, order-related notifications, customer service messages, and other marketing or informational communications.

Consent to receive SMS or text message marketing is not required as a condition of purchasing any Products or using our Services.

Message frequency may vary. Message and data rates may apply. SMS and text messages may be sent using an automatic telephone dialing system or other automated technology, where permitted by applicable law.

You may opt out of receiving SMS or text message communications at any time by replying STOP to any message we send you, or by contacting us at info@gdtsupply.com. You may also revoke your consent by any other reasonable method that clearly communicates your request to stop receiving SMS or text messages from us. After you opt out, we may send you a one-time confirmation message confirming that your opt-out request has been processed.

You represent and warrant that you are the account holder or authorized user of the mobile telephone number you provide to us and that you are authorized to consent to receive SMS or text messages at that number. You agree to promptly notify us if your mobile number changes or is no longer in your possession.

GDT Supply is not responsible for delayed or undelivered SMS or text messages. Wireless carriers are not liable for delayed or undelivered messages.

9.3 Third-Party Marketing Service Providers

We may use third-party service providers to help send, manage, analyze, and improve our email and SMS communications. These providers may process your contact information and related communication data only as necessary to provide such services on our behalf, subject to our Privacy Policy.

Your use of our Services and your receipt of marketing communications are also governed by our Privacy Policy.

10. Optional Tools & Third-Party Links

We may provide access to third-party tools or links. Such tools and sites are provided “as is” and “as available” without warranties. We are not responsible for third-party content, policies, or practices. Use at your own risk.

11. Warranties; Disclaimers

  • Except as expressly stated in our written policies, the Services and Products are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement), and do not guarantee uninterrupted, timely, secure, or error-free operation.
  • Product warranties (manufacturing defects) are governed by our Return, Refund & Warranty Policy. Clinical outcomes are the responsibility of the treating professional.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GDT SUPPLY, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless GDT Supply and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, applicable law, or third-party rights, or your misuse of the Services or Products.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violations of these Terms. Sections that by their nature should survive termination (e.g., IP, warranties, disclaimers, limitations of liability, indemnity, governing law) will survive.

15. Governing Law & Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey for all disputes arising out of or relating to these Terms or the Services.

16. Changes to Terms

We may update these Terms at any time by posting the revised version on this page and updating the “Last Updated” date. Material changes will be communicated as required by law. Your continued use after changes become effective constitutes acceptance.
